Want To Destroy A Software Company’s Worth? Bring On Starboard Value

The first six months of 2022 have been brutal for stock investors. They’re suffering through a bear market after seeing the market more than double from the end of March 2020 to New Year’s Eve 2021. As a result, bottom-fishing value seekers are looking for bargains – including so-called activist hedge funds, which take big positions in target companies, then try to take them over by urging shareholders to elect new members to the board of directors.

In recent months, one of the largest activist investors – Starboard Value – has announced plans to go after no less than 15 publicly traded companies. At some of these companies, shareholders might welcome the attention. But in one group, they are shaking in their boots: software company shareholders want no part of the activist approach.

That’s because when they invest in software companies, activist hedge funds are such strikeout artists they make this year’s bear market look like a home run by comparison

Take the aforementioned Starboard, for example. In recent years, this hedge fund has seized board seats on four software companies: ComScore, Symantec, Commvault and eHealth. Average return for the four stocks? A 38% loss. Imagine how you’d feel as an ComScore shareholder since Starboard came to the rescue in July 2017: the stock is down more than 90% since then. (That’s not a typo.) 

It’s not hard to understand why. As this article points out, activist hedge funds tend to hold their shares for only about 14 months, while cutting research and development spending by more than half. Without investing in innovation, software companies get leapfrogged by the competition. Customers flee, and revenue plummets.

Creating turmoil, slashing R&D and laying off workers is especially harmful in the current climate, when unemployment is historically low and qualified workers are scarce. Software companies, which rely on top talent to produce constant innovation, can’t risk losing their best engineers and programmers – not to mention salespeople and marketers – because outsiders with no software expertise take over the company.

Indeed, this 2020 Bain Inc. study of successful software companies found that the #1 most important element that set the best software companies apart was – you guessed it – their ability to retain employees. 

Word to the wise: if you’re a software company shareholder looking for a share-price rebound, don’t trust predatory activist hedge funds to deliver results. History’s lesson is clear: they don’t know how.

Steve would become Koester’s first Super Mentor. “Steve was the other extreme for me. He was never a formal mentor per se, but what he did for me helped me start my next company, connected me to future investors, and changed my entire trajectory. And, it was because he did what Super Mentors do. He gave me an opportunity.”

Super Mentors details the surprising approach of modern mentorship built around the creation of a network of casual mentors who offer opportunities rather than advice. At the heart of this approach is the project — a tangible, finite, meaningful thing providing us a reason to engage with people.

“Only about a third of people even have a mentor,” Koester shared. “We get so fixated on finding a mentor, that we forget why we want one in the first place. By starting to design a project that matters to you — a nonfiction book, a podcast, an event or conference, a YouTube channel — you figure out what you want first. Then you figure out whom to attract to collaborate with on the project. For me, Steve invited me to help him design and teach a class, and that led to me being hired at Georgetown, a school I wouldn’t have even gotten into as an undergraduate.”

The book is packed with tangible and practical insights around modern mentorship, building on the four laws of mentorship: identifying the right person, right ask, right start, and right time, the PAST framework. “I can’t stress enough that it’s a huge problem that only a third of people have mentors,” Koester continued. “And it’s worse in first-generation college students and graduates, and individuals of color. This creates a disparity in opportunities. Even Sheryl Sandberg noted this in her book Lean In that women are often without mentors because other successful women have limited time and energy. What I hope is we can see mentorship not as that single person who guides us, but a network of individuals that are aligned to help us solve our problems and create opportunities.”

Eddie Maalouf is an example of how far you can get when you consistently play to your strengths throughout your life and trust yourself at every move.

He has demonstrated his natural talent for sales since he convinced his father to let him work in his carpet business at age 15.

The young Eddie spent one week learning about the products available at his dad’s shop before his first sale. Four weeks later, he was selling more than the other four adult salespeople combined, despite only working on weekends.

“The other guys thought I was taking their sales, but I was just closing more people. My dad had to fire me because he needed people that could work the entire week and they wanted to resign because of me,” he reveals.

The Lebanon Deal

Eddie’s dad had several businesses in Lebanon, including a waterpark. As a result, he would spend around three months there every year.

He became passionate about fitness in college: “I was really into that. I was all about supplements, routines, pre-workouts, and all that stuff.”

Eddie realized the supplement market in Lebanon was quite underdeveloped: “There were like 20 stores of decent size in the whole country, and they didn’t have good stuff. So, I saw that there was a need in the market.”

“I’m convinced that things will come to you if you believe that your goal is not a big thing to attain and you make the moves to achieve it.”

Eddie recalls one of many times when that has happened throughout his life: “One of my friends from college was flying from Nigeria into Lebanon, and I offered to take him from the airport to his house. It was a four-hour drive.”

“His cousin also showed up, and we started chatting. It turned out that he was roommates with the co-founder of the biggest supplement distribution company in the US. Those guys were distributing around 200 brands, and I got a meeting with them through my friend’s cousin. What are the chances, you know?”

Eddie met with the distributor’s associate, which helped him book a meeting with every major supplement brand. He met them all at a fitness conference in Las Vegas.

With that said, it’s one thing to have crazy opportunities and another to take them.

He attended all those meetings after carrying out thorough market research of the Middle Eastern supplement market and determining how to introduce the products into that market. He knew precisely which supplements he wanted to distribute from each brand and everything those brands needed to know about the logistics.

In the end, he signed agreements to become the de facto exclusive distributor to the Middle East of the top 15 supplement brands in the US at that time.

Eddie recalls, “I was still in college so, before meeting them, I declined all their dinner invitations. I wasn’t old enough to drink, and I didn’t want them to know how young I was.”

Paving the Way for Paid Media Success

While the paperwork for his deal in the Middle East was being processed, he took a job at a supplement store in the US to learn about Facebook ads.

Later, he started working at a Lifetime Fitness branch. Eddie knew he wanted to have a thing of his own, but he took the job to better understand another side of the fitness industry: the gym market.

Two months later, he was the best salesman in the entire chain. “I was hitting my sales quota by the fifth day of the month and making more sales than the seven other salespeople on my team combined,” he recalls.

“I was signing up more people than everybody else because I came up with ideas for selling more. The funny thing is that I would share those ideas with my colleagues, but they couldn’t execute them as well as I did,” Eddie acknowledges.

The branch executives couldn’t stop making him offers to stay, but Eddie was clear about what he wanted. He boldly resigned and started selling paid media services to small businesses. Soon, this venture became 4Media Marketing.

“One of the hardest things we did was growing all of our different divisions simultaneously in only a year and a half. We developed different SOPs and automations for each. From a young age, Eddie knew that he wanted to be successful and that the best way to do so was to play to his talents and become better at what was already working for him.

“I’ve always played to my strengths. Luckily enough, I’m good at sales,” Eddie asserts. “When you convince somebody to buy a bag of chips of a certain flavor instead of the one they wanted, that’s sales. It’s always been the same to me from a psychological standpoint.”
